Either party may terminate a project under the following conditions:

• For material breach of contract, with 30 days' written notice to cure.

• For insolvency, bankruptcy, or cessation of business operations.

Upon termination:

• Client must pay for work completed up to the termination date.

• Neither party is liable for consequential damages resulting from lawful termination.

These Terms are governed by the laws of Germany, without regard to conflict of law principles. Any disputes arising from these Terms or our Services shall be resolved through:

1. Good Faith Negotiation: Parties will first attempt to resolve disputes through direct negotiation.

2. Mediation: If negotiation fails, disputes will be submitted to mediation in accordance with applicable mediation rules.

3. Arbitration or Litigation: Unresolved disputes will be subject to binding arbitration or litigation in German courts, as specified in project contracts.

Nothing in these Terms affects your statutory rights as a consumer under applicable law.

We are committed to compliance with all applicable regulations, including:

• GDPR (General Data Protection Regulation) for data protection.

• MiFID II for financial services clients.

• Industry-specific regulations relevant to client projects.

• Export control and sanctions laws.

Clients are responsible for ensuring their use of our Services complies with applicable laws in their jurisdictions.

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including:

• Natural disasters, pandemics, or acts of God.

• War, terrorism, civil unrest, or government actions.

• Labor disputes, strikes, or lockouts.

• Internet or telecommunications failures.

• Failures of third-party service providers.

In such events, the affected party will notify the other promptly and make reasonable efforts to resume performance. If force majeure continues for more than 90 days, either party may terminate the affected contract without penalty.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to reflect the parties' intentions to the extent permitted by law.

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.
